ALLSTATE INSURANCE COMPANY OF CANADA

APPLICATION TO ESTABLISH AN INSURANCE COMPANY

Notice is hereby given, pursuant to subsection 25(2) of the Insurance Companies Act (Canada), that Allstate Insurance Company of Canada, a subsidiary of The Allstate Corporation, intends to file with the Superintendent of Financial Institutions, on or after June 16, 2014, an application for the Minister of Finance to issue letters patent incorporating an insurance company to carry on the business of automobile and property insurance in Canada. Its head office will be located in Markham, Ontario.

Any person who objects to the proposed incorporation may submit an objection in writing to the Office of the Superintendent of Financial Institutions, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before July 14, 2014.

ASSUMPTION REINSURANCE AGREEMENT

Notice is hereby given that the Canadian branch of Partner Reinsurance Europe SE (“PRESE”), pursuant to section 587.1 of the Insurance Companies Act (Canada), intends to make an application to the Superintendent of Financial Institutions (Canada) [the “Superintendent”] on or after June 30, 2014, for the Superintendent's approval to enter into an assumption reinsurance agreement (the “Assumption Reinsurance Agreement”) with the Canadian branch of Partner Reinsurance Company Ltd. (“PRCL”), under which PRESE shall agree to cede to PRCL, and PRCL shall agree to reinsure, on an assumption basis, all of the insurance liabilities undertaken by PRESE in respect of its policies in Canada, including all present and future obligations under such risks.

A copy of the proposed Assumption Reinsurance Agreement will be available for inspection by the policyholders of PRESE and PRCL during regular business hours at the office of the Chief Agent of the Canadian branch of PRESE and the Canadian branch of PRCL each located at 123 Front Street W, Suite 909, Toronto, Ontario M5J 2M2, for a period of 30 days following publication of this notice. Any policyholder who wishes to obtain a copy of the Assumption Reinsurance Agreement may do so in writing to the Chief Agent at the above-noted address.
