LETTERS PATENT OF AMALGAMATION

Notice is hereby given, pursuant to subsection 233(2) of the Trust and LoanCompanies Act (Canada) [the “Act”], that B2B Trust, a trust company governed by the Act, and its wholly owned subsidiary M.R.S. Trust Company, also a trust company governed by the Act, intend to make a joint application to the Minister of Finance on or about February 27, 2012, for the issue of letters patent of amalgamation continuing B2B Trust and M.R.S. Trust Company as one company.

The amalgamated company will continue to carry on business in Canada under the name of B2B Trust in both English and French, and its principal office will be located in Toronto, Ontario. B2B Trust is a wholly owned subsidiary of Laurentian Bank of Canada.

Note: The publication of this Notice should not be construed as evidence that letters patent will be issued to amalgamate the trust companies. The granting of the letters patent will be dependent upon the normal Trust and Loan CompaniesAct (Canada) application review process and discretion of the Minister of Finance.
