Notice is hereby given, in accordance with section 75 of the Bank Act (Canada), that Mizuho Corporate Bank (Canada) ["MCBC"] intends to apply to the Superintendent of Financial Institutions (Canada) [the "Superintendent"] for approval to reduce the stated capital of MCBC in accordance with the following special resolution which was adopted by MCBC's sole shareholder, Mizuho Corporate Bank, Ltd. ("Mizuho"), on September 5, 2007:

"BE IT RESOLVED AS A SPECIAL RESOLUTION THAT:

1. Subject to the receipt of all necessary regulatory approvals and the concurrent closing of the transfer and assumption transaction pursuant to which MCBC will transfer substantially all of its assets, interests and rights to the Canadian branch to be established by Mizuho and the Canadian branch of Mizuho will assume substantially all of the liabilities and obligations of the MCBC (the "Transfer Transaction");

2. The reduction of the stated capital of the common shares of MCBC from $165,215,000 to $5,000,000 is hereby authorized, such reduction of stated capital to have effect concurrently with the closing of the Transfer Transaction;

3. MCBC is hereby directed to adjust the stated capital account for the common shares of MCBC to reflect such reduction, such adjustment to be effective concurrently with the closing of the Transfer Transaction, and to pay an amount equal to such reduction to Mizuho by the delivery to the Canadian branch of Mizuho of assets, interests and rights with a value equal to the reduction in stated capital as part of the Transfer Transaction;

4. Mr. Takahiko Ueda, President and Chief Executive Officer of MCBC, is authorized and directed to do all things and execute all instruments and documents as he may consider necessary or desirable to carry out the foregoing."

Under section 9 of the said Act, the Town of East Gwillimbury has deposited with the Minister of Transport, Infrastructure and Communities and in the Land Registry Office for the Registry Division of York Region (No. 65), at 50 Bloomington Road W, Aurora, Ontario, under deposit No. R752143, a description of the site and plans of a proposed 30-m span prefabricated pedestrian bridge over the East Holland River, at Lot 10, Concession 1E, at the Holland Landing, extending from 1.5 m south of the south top of the bank to 1.5 m north of the north top of the bank of the river.

Comments may be directed to the Superintendent, Navigable Waters Protection Program, Transport Canada, 100 Front Street S, Sarnia, Ontario N7T 2M4. However, comments will be considered only if they are in writing, are received not later than 30 days after the date of publication of this notice and are related to the effects of this work on marine navigation. Although all comments conforming to the above will be considered, no individual response will be sent.
