2. The reduction of the stated capital of the common shares of MCBC from $165,215,000 to $5,000,000 is hereby authorized, such reduction of stated capital to have effect concurrently with the closing of the Transfer Transaction;
3. MCBC is hereby directed to adjust the stated capital account for the common shares of MCBC to reflect such reduction, such adjustment to be effective concurrently with the closing of the Transfer Transaction, and to pay an amount equal to such reduction to Mizuho by the delivery to the Canadian branch of Mizuho of assets, interests and rights with a value equal to the reduction in stated capital as part of the Transfer Transaction;
4. Mr. Takahiko Ueda, President and Chief Executive Officer of MCBC, is authorized and directed to do all things and execute all instruments and documents as he may consider necessary or desirable to carry out the foregoing."
