NOVATION REINSURANCE TRANSACTION
Notice is hereby given, pursuant to sections 254 and 587.1 of the Insurance Companies Act (Canada), that GE Frankona Rückversicherungs-Aktiengesellschaft ("GE Frankona") and Swiss Re Life & Health Canada ("Swiss Re") intend to make an application to the Minister of Finance (Canada) [the "Minister"] on or after December 7, 2006, for the Minister's approval for GE Frankona and Swiss Re to enter into a novation agreement in respect of reinsurance agreements between GE Frankona and The Canada Life Assurance Company (the "Reinsurance Agreements") under which Swiss Re will assume GE Frankona's position as the reinsurer under the Reinsurance Agreements with effect as at December 31, 2006.
